TERMS AND CONDITIONS

Fever FM's "Voice of UP"

These Terms and Conditions govern participation in the talent hunt program titled "Voice of UP", organized and conducted by HT Media Limited, operating under the brand Fever FM. These Terms have been updated to provide for participation by individuals aged 15 years and above, including specific requirements applicable to participants below 18 years of age.

1. Introduction and Acceptance of Terms

1. These Terms and Conditions ("Terms") govern participation in the talent hunt program titled "Voice of UP" ("Program"), organized and conducted by HT Media Limited, operating under the brand Fever FM ("Company" / "Fever FM").
2. The Program is a state-wide talent hunt across Uttar Pradesh to identify and showcase individuals who can express themselves through voice-based art forms, including without limitation RJing, singing, poetry, storytelling, rap, mimicry, commentary, spoken word, stand-up comedy and such other formats as may be determined by the Company.
3. By registering for, submitting an entry to, attending an audition for, or otherwise participating in the Program, the Participant agrees to be bound by these Terms. In the case of a Minor Participant, the Parent/Legal Guardian shall be deemed to have accepted these Terms on behalf of the Minor Participant and shall be bound by these Terms in their personal capacity as well.
4. If the Participant and/or, where applicable, the Parent/Legal Guardian does not agree to these Terms in their entirety, the Participant must not register for or participate in the Program.
5. The Program may be promoted, broadcast, published, exhibited or otherwise made available through radio, digital platforms, social media platforms, websites, apps, partner platforms, on-ground events, studio recordings, media partnerships, sponsor channels and any other medium or platform as may be determined by the Company.
6. These Terms shall be binding on all Participants, including Adult Participants, Minor Participants and their respective Parent/Legal Guardians.

2. Definitions

1. "Company" means HT Media Limited, including its affiliates, subsidiaries, group companies, brands, licensees, successors and assigns.
2. "Program" means the talent hunt program titled "Voice of UP".
3. "Participant" means any individual who registers for, submits an entry to, attends an audition for, or otherwise participates in the Program.
4. "Adult Participant" means a Participant who is 18 years of age or above as on the date of registration.
5. "Minor Participant" means a Participant who is 15 years of age or above but below 18 years of age as on the date of registration.
6. "Parent/Legal Guardian" or "Guardian" means the natural parent or lawful guardian of a Minor Participant who is legally competent to provide consent on behalf of the Minor Participant.
7. "Content" includes all audio, video, photographs, recordings, performances, auditions, submissions, voice samples, scripts, written materials, biographical information, name, likeness, image, voice, social media handles and any other material submitted, created, recorded, captured or made available in connection with the Program.
8. "Platform" includes radio, digital platforms, social media platforms, websites, apps, OTT platforms, partner channels, sponsor platforms, media platforms, on-ground venues and any medium now known or developed in the future.
9. "Program Management" includes the Company, its affiliates, appointed agencies, production partners, sponsors, vendors, service providers, media partners, judges, mentors and representatives involved in the conduct, administration, promotion, execution or exploitation of the Program.

3. Eligibility

1. Participation in the Program is open to Indian citizens who are 15 years of age or above as on the date of registration.
2. Any Participant below 18 years of age shall be treated as a Minor Participant and shall be permitted to register and participate only with the prior, express, verifiable and continuing consent of their Parent/Legal Guardian.
3. The Parent/Legal Guardian of a Minor Participant shall be required to:
   • accept these Terms on behalf of the Minor Participant;
   • provide consent for participation, recording, publication, publicity, data processing and Program-related activities;
   • provide such age, identity and relationship verification documents as may be required by the Company;
   • accompany or supervise the Minor Participant at such stages as may be required by the Company; and
   • execute any additional declarations, consents, releases, undertakings or documentation required by the Company.
4. Employees of the Company, Fever FM, HT Media Limited, its affiliates, sponsors, partners, agencies, production agencies and their immediate family members shall not be eligible to participate, unless specifically permitted by the Company in writing.
5. The Company reserves the right to verify the identity, age, citizenship, eligibility and documentation of any Participant and, in case of a Minor Participant, the identity and authority of the Parent/Legal Guardian, at any stage of the Program.
6. Any Participant found to have provided false, misleading, incomplete or unverifiable information may be disqualified at the sole discretion of the Company.
7. The Company may reject registration, disqualify a Participant, withhold prize money, cancel selection or withdraw any opportunity if the required consents, documents, undertakings or verifications are not provided to the Company's satisfaction.

4. Registration and Participation Medium

1. Participants may register and participate through one or more modes notified by the Company, including the official app or website, Live Hindustan platform, on-ground auditions, partner radio stations, digital/social media participation formats and/or any other mode notified by the Company.
2. Participants may be required to provide details including name, age/date of birth, city, mobile number, performance category, performance recording/submission, social media handles, where applicable, and any other details required for participation.
3. For Minor Participants, the registration process must additionally capture:
   • Parent/Legal Guardian's full name;
   • relationship with the Minor Participant;
   • Guardian's mobile number;
   • Guardian's email ID;
   • Guardian's consent confirmation;
   • age proof of the Minor Participant where required; and
   • Guardian identity proof or relationship proof where required.
4. The Company may implement OTP-based, email-based, digital, physical or any other consent verification process for obtaining Guardian consent. Registration of a Minor Participant shall not be treated as complete unless the applicable Guardian consent process is completed to the Company's satisfaction.
5. Submission of registration or entry does not guarantee shortlisting, selection, participation in further rounds, award of prize or any engagement/opportunity.
6. Participants acknowledge that third-party platforms may be governed by their own terms, privacy policies and technical requirements. The Company shall not be responsible for any act, omission, data practice, outage, malfunction or failure of any third-party platform.

5. Specific Conditions for Minor Participants

1. Minor Participants shall not be permitted to participate unless verifiable consent of the Parent/Legal Guardian has been obtained.
2. The Parent/Legal Guardian confirms that:
   • they are legally competent to provide consent on behalf of the Minor Participant;
   • participation is voluntary;
   • participation shall not interfere with the Minor Participant's education, health, safety, dignity or well-being;
   • the Minor Participant shall comply with these Terms; and
   • the Guardian shall remain responsible for supervision of the Minor Participant wherever required.
3. In case of a Minor Participant, the Parent/Legal Guardian represents and confirms that the Minor Participant's participation and submission/performance of Content is voluntary, age-appropriate, not coerced, not forced, not induced by undue influence, and not created or submitted under pressure, threat, compulsion, exploitation or misrepresentation.
4. The Company may require Guardian presence or supervision for on-ground auditions, studio recordings, finale events, promotional shoots, media interactions, travel-related participation, prize documentation and/or any subsequent Program-related opportunity.
5. The Company may refuse participation by a Minor Participant at any stage where:
   • Guardian consent is absent, incomplete, doubtful, unverifiable, disputed, withdrawn, improperly obtained or otherwise insufficient;
   • Guardian verification is not completed;
   • Guardian accompaniment is required but not available; or
   • the Company believes participation may not be appropriate having regard to safety, welfare, legal, reputational or operational considerations.
6. Minor Participants shall not be required to attend late-night shoots, unsafe venues, unsupervised interactions or any activity which the Company considers unsuitable for minors.
7. Any opportunity offered to a Minor Participant after or during the Program, including RJ opportunity, voice artist engagement, digital content collaboration, brand endorsement, sponsor activation or appearance, shall be subject to a separate agreement executed with the Parent/Legal Guardian and compliance with applicable law.

6. Registration Timelines and Program Structure

1. The Program is tentatively scheduled for such duration as may be announced by the Company.
2. Registration dates, audition dates, shortlisting dates, finale dates and other Program timelines shall be announced through Fever FM, Live Hindustan and/or other Platforms.
3. The Company reserves the right to modify, extend, suspend, postpone or cancel any timeline, round, city audition, selection process, finale event or Program activity at its sole discretion.
4. Entries received after the closing date may not be considered.
5. The Company shall not be liable for incomplete, lost, delayed, corrupted, misdirected or unsuccessful entries or for technical failures, internet issues, platform outages, data loss or transmission errors.

7. Selection Criteria

1. Participants may be shortlisted based on parameters including voice quality, creativity, originality, content delivery, audience engagement, personality, stage presence, digital popularity, suitability for the Program format and/or any other criteria determined by the Company.
2. Shortlisted Participants may be invited for city auditions, regional rounds, digital challenges, studio recordings, on-ground performances, finale events and/or media interactions.
3. The selection panel may include Fever FM RJs, internal teams, industry experts, guest judges, celebrity mentors, sponsor representatives or such other persons as may be determined by the Company.
4. The decision of the Company, judges and Program Management shall be final and binding.
5. No Participant shall have any right to challenge the selection process, evaluation criteria, shortlisting, scoring, disqualification or result.

8. Grand Finale and Prizes

1. The Program may include preliminary screening, auditions, digital challenges, live performances, studio recordings, city/regional rounds and grand finale events.
2. The Company may declare winners in one or more categories, including singing, RJ/presenter/content creator, stand-up comedy, spoken word or such other categories as determined by the Company.
3. The Company may award category prizes, grand prize, recognition, opportunities, non-monetary rewards or any other benefits as may be determined and announced by the Company.
4. Any prize money shall be subject to applicable taxes, tax deducted at source, documentation, KYC, declarations and regulatory requirements.
5. For Minor Participants, prize documentation shall be executed by the Parent/Legal Guardian; prize money may be disbursed to the Parent/Legal Guardian or in such other manner as may be advised by the Company's finance/tax team; PAN, bank details, age proof, identity proof and other documents of the Minor Participant and/or Parent/Legal Guardian may be required; and the Company may withhold, defer or cancel prize disbursement if documentation is incomplete, inaccurate or unsatisfactory.
6. Prizes are non-transferable, non-assignable and cannot be exchanged for any other benefit.
7. The Company reserves the right to modify, substitute, withhold, withdraw or cancel any prize or opportunity in case of fraud, misrepresentation, breach of these Terms, non-compliance with documentation requirements, legal impediment or any other reason deemed appropriate by the Company.
8. Any opportunity offered as part of or after the Program shall not constitute employment, guaranteed engagement, endorsement, contract, retainer or continuing relationship with the Company unless documented separately in writing.

9. Personal Data and Privacy

1. The Company may collect and process personal data of Participants, including name, contact details, age/date of birth, city, photographs, audio/video recordings, voice samples, performance content, social media handles, KYC documents, bank details, tax details and other Program-related information.
2. Such personal data may be processed for registration, eligibility verification, Guardian consent verification, administration and conduct of the Program, communication, shortlisting and judging, moderation, recordings and publication, promotion and publicity, prize fulfilment, tax, audit, legal and regulatory compliance, fraud prevention, archival and enforcement purposes.
3. In respect of any Minor Participant, the Company shall process personal data only after obtaining verifiable consent from the Parent/Legal Guardian, in accordance with applicable law, including the Digital Personal Data Protection Act, 2023 and the rules framed thereunder, as and when applicable.
4. For the purposes of the Program, the Parent/Legal Guardian shall be treated as the person authorized to provide consent, manage participation-related permissions, and exercise applicable data rights on behalf of the Minor Participant.
5. The Company may collect and process personal data of Minor Participants, including name, age/date of birth, city, contact details, Guardian details, performance category, audio/video recordings, photographs, submitted content, social media handles, age/identity verification documents, prize-related information and other Program-related information, strictly for specified purposes connected with the Program.
6. The Company shall not knowingly undertake tracking, behavioural monitoring or targeted advertising directed at Minor Participants, except to the extent permitted under applicable law.
7. The Company shall implement reasonable technical and organisational measures to record and verify Parent/Legal Guardian consent, including OTP-based, email-based, digital, physical or such other consent mechanism as may be determined by the Company.
8. The Company may share personal data of Minor Participants only on a need-to-know basis with its affiliates, group entities, agencies, vendors, production partners, technology providers, judges, auditors, legal advisors, payment processors, sponsors and statutory/regulatory authorities, solely for purposes connected with the Program or compliance with applicable law.
9. The Company shall retain personal data of Minor Participants only for such period as is necessary for the purposes set out in these Terms, including legal, tax, audit, compliance, archival, dispute resolution and enforcement purposes.
10. The Parent/Legal Guardian may request access, correction, updating or withdrawal of consent in relation to the Minor Participant's personal data in the manner specified by the Company. Withdrawal of consent may result in the Minor Participant being unable to continue in the Program.
11. The Company's Privacy Policy, as updated from time to time, shall apply to processing of personal data. In case of inconsistency between these Terms and the Privacy Policy, the Privacy Policy shall prevail to the extent applicable to personal data processing.

10. Intellectual Property, Content and Publicity Rights

1. By submitting, performing, recording or creating any Content in connection with the Program, the Participant grants to the Company a worldwide, royalty-free, transferable, sublicensable right to use, reproduce, record, store, publish, edit, adapt, modify, dub, translate, broadcast, communicate to the public, distribute, display, promote, publicize and otherwise exploit such Content in connection with the Program.
2. Such rights shall extend to use across radio, television, digital platforms, social media, websites, apps, OTT platforms, partner platforms, sponsor platforms, advertising, promotions, publicity, archival use, internal communications and any other media.
3. In case of Minor Participants, the rights and permissions under this clause shall be granted by the Parent/Legal Guardian on behalf of the Minor Participant, to the extent permissible under applicable law.
4. The Company may use the Participant's name, image, voice, likeness, photograph, performance, biographical details and Content for Program-related promotion, publicity, broadcast, digital publication, media coverage, social media posts and archival purposes.
5. Any separate sponsor-led endorsement, brand campaign, standalone commercial exploitation, merchandising, paid collaboration, employment-like engagement or post-Program opportunity involving a Minor Participant may be subject to additional consent and documentation from the Parent/Legal Guardian.
6. The Company shall have the right to edit, adapt, package, shorten, combine, subtitle, caption, dub or otherwise modify Content for technical, editorial, promotional, programming or platform requirements, provided that in case of Minor Participants, the Company shall avoid edits that are knowingly derogatory, humiliating, sexually suggestive, unsafe or materially prejudicial to the dignity of the Minor Participant.
7. The Participant and/or Parent/Legal Guardian confirms that the Content is original or lawfully used, does not infringe any third-party rights, does not contain unlawful, defamatory, obscene, hateful, offensive, discriminatory, politically sensitive, dangerous or prohibited material, and that all required permissions have been obtained.
8. No royalty, fee or compensation shall be payable to any Participant for use of Content in connection with the Program, unless expressly agreed in writing by the Company.
9. All rights, title and interest in the Program, Program format, name, branding, logos, creative elements, promotional material, recordings, compilations and Program Content created or commissioned by the Company shall vest solely with the Company.

11. Participant Representations and Conduct

1. Each Participant represents and warrants that:
   • all information submitted is true, accurate and complete;
   • participation does not violate any law, contract or third-party right;
   • the Content submitted is original or lawfully used;
   • all necessary consents and permissions have been obtained; and
   • the Participant shall comply with these Terms.
2. Participants shall not submit obscene, defamatory, hateful, violent, discriminatory, unlawful or offensive Content, infringe copyright, performer rights, personality rights, privacy rights, publicity rights or other third-party rights, misrepresent age, identity, eligibility or ownership of Content, engage in abuse, harassment, intimidation, fraud, cheating, impersonation or disruptive behaviour, or damage the reputation or goodwill of the Company, Program, sponsors, partners, judges or other Participants.
3. All Participants, Guardians and persons attending or participating in any Program-related activity shall conduct themselves lawfully, respectfully and appropriately towards Minor Participants. No person shall engage in any behaviour that is abusive, threatening, exploitative, harassing, discriminatory, unsafe, obscene, inappropriate, intimidating, coercive or otherwise unlawful towards any Minor Participant.
4. Participants, Guardians and other attendees shall not photograph, record, contact, message, follow, solicit, interview or otherwise interact with Minor Participants outside the approved Program process without appropriate consent and supervision.
5. The Company shall have the right to immediately remove, disqualify, report or take appropriate action against any Participant, Guardian or other person whose conduct, in the Company's view, may compromise the safety, dignity, privacy, well-being or lawful rights of a Minor Participant.
6. The Company may disqualify or remove any Participant for breach of these Terms, misconduct, reputational risk, legal risk, safety concerns or any other reason deemed appropriate by the Company.

12. On-Ground Auditions, Studio Recordings and Events

1. Participants may be required to attend auditions, recordings, rehearsals, live performances, finale events, promotional activities or media interactions.
2. For Minor Participants, Guardian presence may be mandatory at all physical venues, and the Company may deny participation if the Guardian is absent. Safe reporting and dispersal timings shall be followed as far as practicable. The Minor Participant shall not be left unsupervised with any individual representative, agency, sponsor, judge or third party. Emergency contact details must be provided, and additional event-specific consent may be required.
3. Participants and Guardians shall follow all venue rules, safety instructions, production protocols, security instructions and Program Management directions.
4. The Company shall not be liable for any personal expenses, travel, accommodation, meals, logistics, incidental costs or other expenses incurred by Participants or Guardians unless expressly agreed in writing.
5. The Company may refuse or stop participation in any physical activity where it considers that the applicable safety, supervision, documentation, consent or conduct requirements have not been met.

13. Indemnity

1. Each Adult Participant shall indemnify and hold harmless the Company, its affiliates, directors, officers, employees, partners, sponsors, agencies, vendors and representatives from any claims, losses, damages, liabilities, costs and expenses arising from breach of these Terms, false information or misrepresentation, infringement of third-party rights, unlawful or objectionable Content, violation of applicable law, misconduct or negligence.
2. In case of a Minor Participant, the Parent/Legal Guardian shall provide the indemnity under this clause on behalf of themselves and the Minor Participant.
3. This indemnity shall survive expiry or termination of the Program.

14. Disclaimers

1. Participation in the Program is voluntary.
2. The Company does not guarantee selection, prize, employment, engagement, endorsement, collaboration, fame, publicity, revenue, social media growth or any commercial benefit.
3. The Company shall not be responsible for technical failures, internet or network issues, lost, delayed or corrupted entries, third-party platform failures, acts or omissions of third-party platforms, decisions of judges or Program Management, or non-availability of any Participant, Guardian, judge, venue, sponsor or partner.
4. All decisions of the Company and Program Management shall be final and binding.

15. Limitation of Liability

1. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, punitive, exemplary or consequential losses or damages arising from or in connection with the Program.
2. The Company shall not be liable for loss of opportunity, loss of reputation, emotional distress, loss of profit, loss of business, loss of data or any claim arising from non-selection, disqualification, cancellation, modification or publication/non-publication of Content.
3. In no event shall the aggregate liability of the Company exceed INR 5,000, except where such limitation is not permitted under applicable law.

16. Modification, Suspension and Termination

1. The Company reserves the right to modify, suspend, extend, postpone, terminate or cancel the Program, any round, any audition, any event, any prize or these Terms at any time.
2. Continued participation after modification of the Terms shall constitute acceptance of the modified Terms.
3. The Company shall not be liable to any Participant or Guardian for modification, suspension, postponement, cancellation or termination of the Program.

17. Force Majeure

The Company shall not be liable for any failure, delay, modification, suspension or cancellation of the Program due to events beyond its reasonable control, including acts of God, natural disasters, epidemic, pandemic, war, terrorism, civil unrest, riots, strikes, governmental actions, regulatory restrictions, technical failures, network failures, venue unavailability, safety concerns or any other force majeure event. In such circumstances, the Company may modify, suspend, extend, terminate or cancel the Program without any liability to Participants, Guardians or winners.

18. Governing Law and Jurisdiction

1. These Terms shall be governed by the laws of India.
2. Subject to applicable law, the courts at Delhi shall have exclusive jurisdiction over disputes arising out of or in connection with the Program.

19. Discovery of Minor Status / Age Misrepresentation & Verification and Sufficiency of Guardian Consent

1. If at any stage it is discovered that a Participant had incorrectly declared their age, suppressed the fact that they are below 18 years of age, or participated without valid Parent/Legal Guardian consent, the Company shall have the right, at its sole discretion, to reject the registration, disqualify the Participant, remove the Participant from the Program, withhold or cancel any prize, withdraw any selection or opportunity, and/or require fresh documentation, without any liability to the Company.
2. For avoidance of doubt, any participation by a Minor Participant without valid, verifiable and continuing Parent/Legal Guardian consent shall be treated as non-compliant participation and may be rejected by the Company at any stage.
3. The Company shall have the sole discretion to determine whether the Parent/Legal Guardian consent provided is valid, sufficient, verifiable and acceptable for the purposes of the Program. The Company may reject or disregard any consent which, in its view, is incomplete, unclear, unverifiable, inconsistent, improperly obtained, disputed, withdrawn, or otherwise insufficient.
4. In the event of any misrepresentation regarding the identity, authority, relationship or consent of the Parent/Legal Guardian, or any dispute between the Minor Participant and the Parent/Legal Guardian, or between parents/guardians, the Company may suspend, reject or disqualify the Minor Participant from the Program and may withhold publication, participation, prize processing or any opportunity until the matter is resolved to the Company's satisfaction.

20. Miscellaneous

1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force.
2. Failure by the Company to enforce any provision shall not constitute waiver.
3. The Company may assign or transfer its rights and obligations in connection with the Program to any affiliate, group entity, successor, sponsor, partner or third party.
4. These Terms, together with any consent forms, declarations, privacy notices, event rules and additional documents issued by the Company, constitute the entire understanding governing participation in the Program.
5. These Terms shall be applicable from the official launch date of the Program or such other date as may be notified by the Company.
